These Terms of Use (the “Terms”) govern access to and use of the public website operated by Aletyx, Inc. (“Aletyx,” “we,” “us,” or “our”) at aletyx.com and its public website pages (collectively, the “Website”). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. Website Scope; Separate Product Agreements

1.1 Website Only. These Terms apply only to the public Website, including its marketing pages, articles, public resources, and contact or information-request forms.

1.2 Products and Services Are Separate. These Terms do not govern Aletyx software, hosted products, trials, pilots, subscriptions, marketplace offerings, customer portals, professional services, support services, or other restricted-access services. Those offerings are governed by the specific agreement presented with or executed for the applicable offering.

1.3 Separate Agreement Controls. If you or your organization accepts or enters into a separate agreement with Aletyx, that agreement controls the product, service, account, or transaction it covers. These Website Terms do not amend, expand, or replace that separate agreement.

2. Permitted Website Use

Aletyx grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for lawful personal or internal business informational purposes. No other right or license is granted.

The Website is intended for a business audience. If you use the Website on behalf of an organization, you represent that you are authorized to act for that organization in connection with your Website use.

3. Prohibited Conduct

You will not:

Use the Website in violation of applicable law or the rights of another person
Attempt to gain unauthorized access to the Website, its systems, accounts, or data
Probe, scan, test, or circumvent Website security or access controls without Aletyx’s prior written authorization
Introduce malware, harmful code, or content intended to disrupt the Website
Interfere with the Website’s availability, operation, or use by others
Use automated means in a manner that disregards published technical controls, access restrictions, or reasonable rate limits
Misrepresent your identity, affiliation, or the source of information submitted to Aletyx

Use Aletyx names, trademarks, content, or Website materials to imply sponsorship, endorsement, or affiliation without authorization

Aletyx may restrict or discontinue Website access when reasonably necessary to protect the Website, Aletyx, its users, or others.

4. Intellectual Property

The Website and its content—including text, graphics, logos, designs, software, videos, and other materials—are owned by Aletyx or its licensors and are protected by intellectual-property laws. Except for the limited Website-use right in Section 2, these Terms do not grant any license to Aletyx or third-party intellectual property.

Aletyx names, logos, product names, and branding are trademarks or service marks of Aletyx. You may not use them in a way that is misleading or suggests Aletyx endorsement without prior written permission.

You may link to public Website pages in a fair and lawful manner that does not damage Aletyx’s reputation or imply an affiliation or endorsement that does not exist. Aletyx may request removal of a misleading or unlawful link.

5. Information You Submit

When you submit information through a Website form or communication channel, you represent that the information is accurate to the best of your knowledge, that you have the right to provide it, and that it does not violate applicable law or another person’s rights.

Submitting an inquiry, contact request, newsletter request, or similar communication permits Aletyx to use the submitted information to receive, evaluate, route, and respond to that communication and to operate the related business process. It does not give Aletyx ownership of materials you submit.

Do not send confidential information, production data, regulated data, credentials, or security-sensitive material through a general Website form. Information submitted through a product, trial, support, or customer portal is governed by the agreement and privacy disclosures applicable to that service.

6. Privacy and Cookies

Aletyx handles personal data associated with the Website as described in the Aletyx Privacy Policy. The Aletyx Cookie Policy explains the Website’s use of cookies and similar technologies and the choices available through Cookie Settings.

7. Third-Party Sites and Resources

The Website may link to third-party websites, services, applications, or resources. Aletyx does not control and is not responsible for third-party content, availability, security, or practices. A link does not imply endorsement. Your use of a third-party service is governed by that third party’s terms and policies.

8. Informational Content

Website content is provided for general informational purposes. It is not legal, financial, compliance, security, or other professional advice and should not be treated as a commitment regarding a product or service. Product descriptions, roadmaps, examples, and other Website materials may change. A binding product or service commitment exists only when stated in the agreement governing that offering.

9. Website Availability and Changes

Aletyx may modify, suspend, restrict, or discontinue any part of the Website at any time. Aletyx does not promise that the Website or any content will remain available, current, complete, or error-free.

Aletyx may update these Terms by posting a revised version with a new effective date. Revised Terms apply to Website use after their effective date. Changes to a separate product or service agreement are governed by that agreement, not by this Section.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ALETYX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ALETYX DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALETYX AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE WEBSITE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALETYX’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100). These limitations do not apply to liability that cannot lawfully be limited.

12. Indemnification

You will defend, indemnify, and hold harmless Aletyx and its directors, officers, employees, contractors, and affiliates from third-party claims, damages, and reasonable costs arising from your unlawful use of the Website, information or material you submit in violation of these Terms, or your infringement of another person’s rights.

13. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. To the extent permitted by law, exclusive venue for a dispute arising from these Terms or the Website lies in the state or federal courts located in Wake County, North Carolina.

14. General

If a provision of these Terms is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect. Aletyx’s failure to enforce a provision is not a waiver. You may not assign these Terms without Aletyx’s written consent. These Terms are the entire agreement between you and Aletyx concerning the public Website, subject to Section 1’s treatment of separate product and service agreements.
